申请延长驻在期限所需提交的文件
1. 申 请 书(正本)
台港澳、外国(地区)机构法人代表(有权签字人)签署的向上海市对外经济贸易委员会(英文:SHANGHAI MUNICIPAL FOREIGN ECONOMIC RELATIONS & TRADE COMMISSION )与上海市工商行政管理局(英文:SHANGHAI ADMINISTRATIVE BUREAU FOR INDUSTRY & COMMERCE)申请延长常驻代表机构驻在期限的申请书各一份。内容包括:企业简况(企业名称、设立年月、注册地址、注册资金、经营范围、法人代表姓名、职务、联系电话)、设立常驻代表机构的目的、常驻代表机构的名称、派驻人员(首席代表、代表)、业务范围、驻在期限、驻在地址、联系电话等;申请书必须用机构信笺打印。
2. 首席代表委任书(正本)
台港澳、外国(地区)机构法人代表(有权签字人)签署的首席代表委任书一份,提交给上海市对外经济贸易委员会。写明被委任者职务;委任自己为首席代表,必须由该机构理事会其他两名以上理事签字;申请书必须用机构信笺打印。
3. 履 历(正本)
首席代表本人签字的履历书各一份,该履历书应包含学历、工作经历、历任各项职务,年份要连接。
4. 身份证件、照片
首席代表有效身份证件的复印件,同时提交首席代表小二寸照片5张。
5. 合法开业证明(原件或经证明的真实副本)
机构所在国(地区)的有关当局出具的合法开业证明和机构章程(原件或经证明的真实副本),并应当提交由当地公证机关出具的公证文件、使领馆出具的认证文件。同时提交下述材料之一种:当年最新的营业状况良好证明(GOOD STANDING CERTIFICATE)/周年申报表/税务申报表/营业执照。
6. 银行资信证明(原件)
与机构有业务往来的(机构注册地)开户银行出具的资本信用证明,该证明必须用银行信笺打印,由银行负责人签署,内容主要包括该机构的基本情况、资信度评价等方面。
7. 驻在地址使用证明
常驻代表机构地址必须在政府指定的办公场所;如宾馆、涉外办公楼等(详见涉外办公场所名单),并提交租赁合同原件、产权证复印件(产权人和出租人为同一人)、驻在证明(正本)、“指定办公场所”副本的复印件、驻在地租赁双方房屋租赁证复印件;
上述“指定办公场所”副本的复印件、产权证复印件、驻在地租赁双方房屋租赁证复印件,需加盖办公场所经营单位公章。
8.完税证明文件
提供由税务局盖章的完税证明(正本)一份及代表处税务登记证复印件
9.外国(地区)企业常驻代表机构登记证(复印件)
10.三年工作小结(正本)
代表处首席代表签署的向上海市对外经济贸易委员会(英文:SHANGHAI MUNICIPAL FOREIGN ECONOMIC RELATIONS & TRADE COMMISSION )与上海市工商行政管理局(英文:SHANGHAI ADMINISTRATIVE BUREAU FOR INDUSTRY & COMMERCE)提交的三年工作小结二份,内容要求写清代表处过去三年里的业绩。
11.签署《登记申请书》
首席代表签署《外国(地区)企业常驻代表机构设立登记申请书》。
12.委托书(原件)
机构委托我中心办理工商登记的委托书原件一份。
上述文件,凡属非中文文件,请备中文翻译件,第5. 6. 项须由政府指定认可的翻译机构译成中文,并盖章。
中国籍员工担任首席代表或代表,应出具经政府许可的涉外人才公司提供的证明文件(原件)。

Documents Required for Renewal
of the Permanent Representative Office
of Foreign Economic &Trade Organizations in Shanghai
1. Application letter (original)
1.1 The application letter for establishing the permanent representative office shall be addressed respectively to Shanghai Municipal Foreign Economic Relations & Trade Commission (SMERT) and Shanghai Administrative Bureau for Industry & Commerce (SAIC).
1.2 The application letter shall provide a brief introduction of the applying organization (the organization name, the date of set-up, registered address, registered capital, the scope of operations, the name and position of the juridical person, and the telephone number). Stating its purpose for renewal, with some general particulars of its business activities in Shanghai or its neighboring regions.
1.3 The application letter shall also detail the information of the permanent representative office to be renewed including the name (country name + organization name + Shanghai Representative Office), the purpose, the personnel (chief representative and representatives), the scope of operations, the term (3 years for the longest, and possible for extension), the address and the telephone number.
1.4 The application letter shall be printed and shall bear the signature & printed name of the chairman of the council (or whoever is authorized to sign for and on behalf of the organization), as well as the name of the applying organization
2. Letter of appointment of the Chief Representative (original)
2.1 The letter of appointment of the Chief Representative shall be addressed respectively to Shanghai Municipal Foreign Economic Relations & Trade Commission (SMERT) and Shanghai Administrative Bureau for Industry & Commerce (SAIC).
2.2 The letter of appointment shall certify, among other things, the position of the chief representative in the applying organization .
2.3 The letter of appointment shall bear the signature & printed name of the chairman of the council (or whoever is authorized to sign for and on behalf of the organization).
2.4 In case that the chairman of the council is appointed the chief representative, the letter of appointment shall be signed by at least two members of the council.
3. Resumes of the Chief Representative and representatives (original)
3.1 The chief representative and representatives shall sign their respective resumes in person.
3.2 The time order of the formal schooling, working experience and various posts of the Chief Representative and representatives shall be consecutive on the resumes.
4. Certificates of identification and photos
The chief representative and representatives shall submit duplicate of valid certificates of identification (passport or residential card) and ten two-inch bareheaded photos recently taken.
5. Certificates of registration and Articles of Association (original or certified true copy)
5.1 The applying organization shall submit the lawful and valid certificates of registration issued by the government department concerned in its native country or region of the applying organization.
5.2 The application documents submitted shall be notarized by the local notary public office, and further be authenticated by the consulate or embassy.
5.3 The applying organization shall also submit its Articles of Association as well as one of the following documents: 1. good standing certificate/status certificate; 2. annual return/annual report; 3. tax report; 4. business license (the updated version).
6. Banker’s reference of the credit rating of the applying organization (original)
6.1 Banker’s reference of the applying organization shall be provided by its major credit bank.
6.2 Banker’s reference shall cover the basic status, credit rating & etc. of the applying organization.
6.3 Banker’s reference shall bear the signature & printed name of the chief of the bank as well as the heading of the bank.

7. Permitted office location and station certificates (original)
7.1 The permanent representative office premises shall be within the list of office buildings designated for foreign organization by the government (as detailed in the list of the office buildings for foreign representative office).
7.2 The applying organization shall submit the original copy of the leasing agreement of the office premises and stationing certificate; the duplicate of title deed (with the landlord and leaser being the same person); the duplicate of the leasing certificate of the leased office premises; and the duplicate of the Permit of “the designated office building”.
7.3 The above-said duplicates shall be issued by the operating company of the office buildings and its seal be affixed.
8. Summary of the business activities (3 years) (original)
The summary of the business activities shall be printed and shall be signed by the Chief Representative with printed name.
9. Certificate of tax paid, from the Tax Bureau(original)
10.Application Form for Renewal
Application Form for renewal shall be signed by the chief representative.
11.Letter of Entrustment
The letter of entrustment provided to our center shall be signed by the chief representative with printed name.
12. Consulting fee, process time and others
12.1 The consulting fee for preparing the application documents and obtaining the approval is RMB 8,300.
12.2 The service fee for business registration is RMB1,660.
12.3 The duration for completing above procedures is about 1.5-2 months after all the required application papers are submitted if nothing fails to meet the requirements.
12.4 All the above-mentioned documents if in the language other than Chinese shall be accompanied by a Chinese version except that Item 5 & 6 shall be rendered into Chinese by the translation services designated by the government, and its seal be affixed..
12.5 The applying organization shall submit the attesting documents (original copy) from the Foreign Personnel Company ratified by the government when Chinese personnel are appointed the Chief Representative or representatives. |
